Terms of Service

1. Acceptance of Terms

By accessing and using Workshop Manager ("the Service"), developed by edcilo.com, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these terms, you must not use the Service. These terms constitute a legally binding agreement between you and the developer. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the use of the Service.

2. Description of Service

Workshop Manager is a comprehensive management platform for automotive workshops that includes the following functionalities:

  • Customer and vehicle management
  • Repair orders and services
  • Inventory and product control
  • Purchase, sales, and financial transaction management
  • Artificial intelligence assistant specialized in motorcycles
  • Public catalog of products and services
  • Point of sale system (POS)

3. Registration and User Accounts

To use the Service, you must:

  • Create an account by providing accurate and complete information
  • Maintain the security of your access credentials
  • Be responsible for all activities that occur under your account
  • Immediately notify us of any unauthorized use of your account
  • Be at least 18 years old or the age of majority in your jurisdiction
  • Not share your access credentials with unauthorized third parties

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following are strictly prohibited:

  • Using the Service in any way that violates any applicable law or regulation
  • Attempting unauthorized access to systems, data, or other users' accounts
  • Interfering with the Service's operation or overloading the infrastructure
  • Transmitting viruses, malware, harmful code, or conducting denial of service attacks
  • Using the Service for fraudulent, deceptive, or illegal activities
  • Copying, modifying, reverse engineering, or distributing the software without authorization
  • Using unauthorized bots, scrapers, or automated tools to access the Service
  • Storing sensitive third-party data without their consent or proper legal authorization
  • Using the AI assistant to generate illegal, harmful content, or content that infringes third-party rights

5. Subscriptions and Payments

The Service operates under a subscription model with different plans (Free, Pro, Enterprise). By subscribing:

  • You agree to pay the applicable subscription fees according to the selected plan
  • Payments are processed through Stripe and are subject to their terms and conditions
  • Subscriptions automatically renew unless cancelled before the end of the billing period
  • Fees may change with at least 30 days prior notice
  • We do not offer refunds for partial subscription periods, except where required by applicable law

6. Free Plan

The free plan (Free) is offered with limited features. We reserve the right to modify, limit, or discontinue the free plan with 30 days prior notice. If the free plan is discontinued, users will have the option to migrate to a paid plan or export their data before service termination.

7. Intellectual Property

All content, code, design, features, and materials of the Service are the exclusive property of edcilo.com and are protected by intellectual property laws. You do not acquire any ownership rights over the Service by using it. Reproduction, distribution, or creation of derivative works without express written authorization is prohibited.

8. User Data and Content

You retain all rights to the data you enter into the Service, including images, documents, and any other content. By using the Service, you grant edcilo.com a limited, non-exclusive, revocable license to store, process, and use your data solely to provide the Service. You are responsible for: (a) the legality and accuracy of the data you enter, (b) obtaining necessary consents to store third-party data, (c) maintaining backups of your important data.

9. Data Export

You have the right to export your data from the Service. You can request a complete export of your data in a structured format (JSON or CSV) by contacting us at support@edcilo.com. Export requests will be processed within 30 days. After cancelling your account, you will have a 30-day grace period to request export of your data before it is deleted.

10. Use of Artificial Intelligence Assistant

The Service includes an artificial intelligence assistant. By using this feature, you agree that:

  • The assistant's responses are for guidance only and do not substitute professional advice from certified mechanics
  • You should not make critical safety decisions based solely on the assistant's responses
  • The developer is not liable for damages arising from following AI assistant recommendations
  • You should not share confidential, sensitive, or third-party personal information in conversations
  • Conversations may be processed by external providers (OpenAI) according to their privacy policies

11. Multi-tenancy and Data Separation

Workshop Manager is a multi-tenant platform where each workshop/organization operates independently. We guarantee logical data separation between organizations. No user from one organization can access another organization's data. You are responsible for managing user access permissions within your organization.

12. Service Availability

The Service is provided "as is" and "as available". We do not guarantee that the Service will be available uninterrupted or error-free. We may perform scheduled maintenance (with prior notice when possible) or emergency maintenance that results in temporary interruptions. We reserve the right to modify, suspend, or discontinue any aspect of the Service with reasonable prior notice.

13. Force Majeure

We shall not be liable for delays or failures caused by events beyond our reasonable control, including but not limited to: natural disasters, pandemics, wars, acts of terrorism, civil unrest, Internet infrastructure failures, massive cyber attacks, governmental actions, or any other force majeure events.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, edcilo.com AND THE DEVELOPER SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DATA LOSS, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR ANY OTHER DAMAGE RESULTING FROM THE USE OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU IN THE LAST 12 MONTHS FOR THE SERVICE.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

16. Indemnification

You agree to indemnify, defend, and hold harmless edcilo.com and the developer, as well as their directors, employees, and agents, from any claim, demand, loss, liability, and expense (including reasonable legal fees) arising from or related to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any third-party rights, (d) any content or data you provide through the Service, or (e) negligent or improper use of the AI assistant.

17. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for violation of these Terms or activities we consider harmful to the Service or its users. You may cancel your account at any time through your account settings. Upon termination: (a) you will have 30 days to export your data, (b) your right to use the Service will cease, (c) we may delete your data after the grace period as permitted by law.

18. Notifications

We will send you important notifications related to your account and the Service through: (a) email to the address associated with your account, (b) in-app notifications, or (c) posts on our website. It is your responsibility to keep your contact information up to date. Notifications will be considered received 24 hours after being sent by email or posted.

19. Assignment

You may not assign or transfer these Terms or your rights or obligations hereunder without our prior written consent. We may assign these Terms in the event of a merger, acquisition, corporate reorganization, or sale of assets, provided that the assignee assumes the obligations under these Terms.

20. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes at least 30 days in advance by email and/or notice on the Service. Your continued use of the Service after the notification period constitutes your acceptance of the new terms. If you do not agree with the changes, you must cancel your account before they take effect.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified and interpreted to achieve the objectives of that provision to the greatest extent possible, and the remaining provisions shall continue in full force and effect.

22. Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by us to be effective.

23. Governing Law and Jurisdiction

These Terms are governed by applicable laws without regard to their conflict of law provisions. Any dispute related to these Terms or the Service will be resolved through binding arbitration in accordance with applicable rules, or in competent courts as permitted by law. You waive any objection to the jurisdiction and venue of such courts.
